Responsibilities

  1. Leading  and managing the Legal Services  team;
  2. Providing comprehensive legal support across all areas of the Company’s operations, including regulated investment services under CySEC, MiFID, ESMA, and other frameworks (such as in marketing, HR, corporate governance, property management, and real estate transactions, including those involving EU-based subsidiaries and tied agents, etc) in close cooperation with the Chief Legal Officer;
  3. Constant monitoring and analysis of the legal and regulatory framework under Cyprus, EU,   legislation applicable to the Cyprus Companies, including DORA, GDPR, and sanctions regulations;
  4. Where necessary - drafting, reviewing, negotiating any legal, transactional, and corporate governance documents to be entered/enacted by the Company, same as overseeing the team’s work related to the same subject;
  5. Developing, reviewing, and adapting standard agreements and internal documentation in response to business needs, regulatory changes, and new product launches;
  6. Preparing legal memoranda, opinions, and contract summaries on a wide range of legal and regulatory matters;
  7. Engaging and managing external legal providers if necessary;
  8. Overseeing regular legal reviews of the Company’s websites and platforms to ensure compliance with legal, regulatory, and internal requirements;
  9. Where necessary, providing legal support solo or with the team in drafting, revising, and advising on internal policies and regulations in cooperation with the relevant Departments concerning their conformity with the applicable legislation in force;
  10. Showing the best practices on how to approach tasks and offer guidance to the team members;
  11. Staying informed about professional knowledge and using it in your daily work;
  12. Performing any other relevant duties as may be required or other tasks related to the company’s or the Group’s needs;
  13. Lead the Legal Unit in the absence of the Chief Legal Officer.

Requirements

  1. 10+ PQE as in-house in a CIF company, or IT (fintech), or a law firm servicing CIF companies and/or IT (fintech);
  2. JD degree in Law (common-law jurisdiction), OR equivalent of a JD degree (from civil law jurisdiction) + LLM from a common-law jurisdiction;
  3. Expertise in capital and money markets regulation (MiFID, Prospectus Regulation, ESMA regulations, CySEC, etc.), and other applicable EU regulations, also GDPR, IP regulation, etc;
  4. Expertise in M&A deals is a plus;
  5. Deep understanding of capital brokerage, advisory, and portfolio management business (securities, instruments, standardized capital market agreements, TOBs, etc.) as well as its product development and licensing of the IT product;
  6. Strong knowledge and expertise in  contract law governed by English law;
  7. Positive experience in implementing AI into in-house legal work;
  8. Fluent in both Russian and English, with excellent legal drafting skills in both languages;
  9. Strong legal analysis, contract structuring, and negotiation skills;
  10. Exceptional organizational, communication, and social skills;
  11. Ability to work independently, leading the team of in-house counsels,  propose and implement solutions, and collaborate effectively with internal and external stakeholders;
  12. High attention to detail, responsibility, and ability to manage multiple priorities in a fast-paced environment;
  13. Positive, professional attitude with a team-leading mindset;
  14. Excellent communication and organizational skills;
  15. Advanced computer proficiency.
